In Kenya, it is mandatory to file annual returns for both private and public company every year, failure to which there will be stiff penalties which include your company being struck off by the registrar of Companies.
The Companies Act CAP 486, Section 125 requires
each company with a share capital to file company annual returns once every year and the said returns shall be in the form and shall be made up to the date of the fourteenth day after the date of the annual general meeting.
The company annual returns should be signed both by a director and the secretary of the company. The Annual returns should be completed in the form prescribed by the Kenya Companies ACT CAP 486 and submitted at the Companies Registry accompanied by the requisite fees before the same is accepted for filing. Late filing of annual returns attracts a penalty for every year defaulted.
The contents of the Company annual returns should in accordance with the Kenya companies and completed by a Certified Public Secretary (CPS) due to its complexity.
